General licence and sales terms
Applicable to every VigilanceX Revive licence. Version of 7 November 2026. Governing law: Luxembourg law.
1. Purpose
AMS Studio SARL (“the publisher”) grants the customer a non-exclusive, non-transferable licence to use the VigilanceX Revive software (“the software”) under the terms below. The software consists of a server application installed on a QNAP NAS and an agent installed on the Windows PCs to be protected. It is supplied by download; no physical medium is delivered.
The software is intended for businesses: these terms apply to professional customers, whether legal entities or individuals acting for the purposes of their business.
2. Free trial
Installing the software opens a free fifteen-day trial, for five PCs, with every feature, without any means of payment. The trial is bound to the NAS: it is granted only once per NAS, and reinstalling does not restart it. When it ends, the rules of article 6 apply as for an expired licence.
3. Licence
Annual licence, per NAS, for a pack of PCs (5, 10, 25, 50 or 100 PCs; above that, on quotation). PCs enrolled on the server count towards the pack; a revoked or deleted PC frees its seat; a PC restored to a new machine does not take an extra seat. When the pack is full, PCs already protected keep being backed up and only new enrolments are refused. The pack can be changed at renewal.
4. Prices and payment
Prices are those of the Pricing page on the day of the order, shown excluding VAT. Luxembourg VAT applies to customers established in Luxembourg; it is not charged to taxable persons established in another EU Member State who provide a valid VAT number (reverse charge). Payment is due on order, through the secure payment link sent by email; the invoice is sent by email.
5. Activation
Orders are placed from the software console (“Request activation”: company, contact, email, VAT number, pack). Once payment is confirmed, the licence loads automatically on the customer's server, with no file to handle. The NAS must be able to reach the internet for the trial and the licence; without this access, the software works for forty-eight hours, then backups stop until the connection is restored.
6. Term, renewal and expiry
The licence runs for one year from its activation. It does not renew automatically: the customer renews it from the console. The new year starts at the end of the current licence, so renewing early loses no days.
At expiry, a seven-day grace period lets the customer keep using everything. After that, the software no longer runs new backups, accepts new PCs or updates the agents. Restores always remain possible, whether the licence has expired or not: the publisher never withholds the customer's data.
7. Data sent to the licence server
Backups stay on the customer's NAS and are never sent to the publisher. For the trial and the licence, the customer's server sends the publisher's licence server: a fingerprint of the NAS serial number (during the trial, not the number itself), the NAS model, the installed version and the connection's IP address; when activation is requested, the company, contact name, email address and VAT number entered.
This data is used only to issue, check and renew the licence, to invoice and to prevent abuse. Legal basis: performance of the contract and the publisher's legitimate interest. It is kept for the term of the licence, then for as long as accounting and tax obligations require. It is never sold or shared. Rights of access, rectification, erasure, restriction and objection can be exercised at contact@vigilancex.io; a complaint can be lodged with the CNPD.
8. Replacing the NAS
The licence is bound to the NAS serial number. If the NAS is replaced, the customer contacts the publisher at contact@vigilancex.io to arrange the transfer of the licence.
9. Updates and support
During the licence and trial term, the customer receives new server versions through the QNAP App Center; the PC agents update from the server and check the signature of every version. Support is provided by email at contact@vigilancex.io, in French and English, on Luxembourg working days.
10. What the licence does not allow
Reselling, renting or lending the licence; using it on a NAS other than the one it was issued for; circumventing or altering the licence or integrity-check mechanism; modifying the agent or the server; decompiling the software beyond what article 35 quater of the Luxembourg law of 18 April 2001 on copyright allows (interoperability).
11. Third-party components
The software includes open-source components, whose licences apply to those components. It works with QNAP QTS, Container Station and Microsoft Windows, used under the customer's own licences.
12. Liability
The software is a backup and restore tool. Choosing which PCs and data to back up, the retention period, the condition of the NAS and its disks, regularly testing restores, Windows activation and joining PCs to the customer's directories remain the customer's responsibility.
The publisher is liable for proven direct damage, up to the price paid for the licence over the last twelve months, except in the event of gross negligence, wilful misconduct or bodily injury. It is not liable for indirect damage, including loss of business.
13. Termination for breach
If the software is used contrary to article 10, the publisher may revoke the licence after formal notice that has remained without effect for fifteen days. Restores remain possible. The customer may stop using the software at any time.
14. Governing law and disputes
These terms are governed by Luxembourg law. Before any action, the parties seek an amicable solution; failing that, the courts of Luxembourg have exclusive jurisdiction.
